By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services. ## Acceptance of Terms By accessing or using Replai, you confirm that you are at least 18 years old, have the authority to bind yourself (or your organization) to these Terms, and agree to comply with all applicable laws and regulations. If you are using Replai on behalf of an organization, you represent that you have the authority to accept these Terms on its behalf. ## Service Description Replai is an AI agent builder platform that enables businesses to: - Create and configure AI agents with custom knowledge bases - Deploy agents across messaging channels (LINE, Facebook Messenger, Instagram, Web Widget) - Monitor conversations and analytics - Manage team access and workspace settings We continuously improve our services. Features may be added, modified, or discontinued with reasonable notice. ## Account Registration & Security To use Replai, you must create an account via Google OAuth. You are responsible for: - Maintaining the security of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized access - Ensuring your account information is accurate and up-to-date We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently. ## Subscription & Billing Replai offers subscription plans with different features and usage limits. New accounts receive a 14-day free trial. No payment information is required to start a trial. Billing is handled through direct invoicing. Plan details, pricing, and payment terms are available on our billing page. We may change our pricing with 30 days notice. Price changes do not apply to the current billing period. ## Acceptable Use Policy You agree not to use Replai to: - Violate any applicable law or regulation - Generate or distribute illegal, harmful, abusive, or harassing content - Impersonate any person or entity, or misrepresent your affiliation - Send spam, unsolicited messages, or bulk communications - Attempt to gain unauthorized access to our systems or other users' accounts - Reverse engineer, decompile, or disassemble any part of the service - Use the service to build a competing product - Interfere with or disrupt the service or servers - Circumvent usage limits or billing mechanisms We may suspend or terminate your access for violations of this policy. For serious violations, we may do so without prior notice. ## AI-Generated Content Replai uses artificial intelligence to generate agent responses. You acknowledge and agree that: - AI responses may be inaccurate, incomplete, or contextually inappropriate - You are solely responsible for configuring your agent's behavior, safety rules, and knowledge base - You must review and monitor your agent's outputs, especially in customer-facing deployments - AI does not provide professional advice (medical, legal, financial, or otherwise) - Replai is not liable for any decisions or actions taken based on AI-generated content - You are responsible for disclosing to end-users that they may be interacting with AI AI RESPONSES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. REPLAI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ## Intellectual Property & Data Ownership Replai and its original content, features, and functionality are owned by Replai and are protected by intellectual property laws. You retain ownership of all content you upload to the platform, including knowledge base documents, agent configurations, and custom prompts. You grant Replai a limited, non-exclusive license to process your content solely for the purpose of providing the service. This license terminates when you delete your content or close your account. Conversation data between your agents and end-users: you are the data controller and we are the data processor. You are responsible for ensuring you have appropriate legal basis to process end-user data through your agents. Any feedback, suggestions, or ideas you provide about the service may be used by Replai without obligation to you. ## Third-Party Integrations Replai integrates with third-party messaging platforms (LINE, Meta). Your use of these integrations is also subject to the respective platform's terms and policies. We are not responsible for the availability, accuracy, or policies of third-party services. You are responsible for complying with each platform's terms when deploying agents. ## Service Availability We strive to maintain high availability but do not guarantee uninterrupted service. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible. We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, network outages, third-party service failures, or government actions. ## Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claims arising from or related to these Terms or the service shall not exceed the amount you paid to Replai in the 12 months preceding the claim. ## Indemnification You agree to indemnify and hold harmless Replai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content generated by your agents that causes harm to third parties. ## Termination You may terminate your account at any time through the workspace settings. Upon termination, your data will be deleted in accordance with our Privacy Policy. We may terminate or suspend your account if you violate these Terms, fail to pay applicable fees, or if we discontinue the service. We will provide reasonable notice when possible. Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive. ## Governing Law & Dispute Resolution These Terms are governed by the laws of Taiwan, Republic of China, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Taiwan. Before filing a legal claim, you agree to attempt to resolve the dispute informally by contacting us. ## General Provisions - Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Replai. - Severability — If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. - Waiver — Our failure to enforce any provision does not constitute a waiver of that provision. - Assignment — You may not assign your rights under these Terms without our consent. We may assign our rights without restriction. - Notices — We may send notices via email or in-app notification.
